UH, TO SUMMARIZE THE, UH, INFORMATION AND BRIEFING, THIS IS A PROPOSAL FOR AN ENTITY NAMED MARITIME DEFENSE AND INDUSTRIAL FINANCING CORPORATION FOR M-D-I-F-C TO, UH, RECEIVE AN ASSIGNMENT OF THE LEASE FROM GULF COPPER ON ITS, UH, LEASEHOLD STATE ON PELICAN ISLAND.

UH, M-D-I-F-C IS A CORPORATE FACIL, UH, AFFILIATE, UH, UH, CHANT DEER DAVY CANADA, UH, UNDER, UH, OUR FEDERAL LAW AND OTHER LAWS IN OTHER COUNTRIES.

IT'S, THEY TYPICALLY HAVE A US HOLDING COMPANY THAT IS THE ENTITY THAT CONTROLS ALL US OPERATIONS.

AND THAT IS THE ENTITY, EITHER IT OR AN ASSIGNEE OF IT, A US SUBSIDIARY THAT IT MAY CREATE BE THE US AND THE OTHER POLICE.

IF SO, IT'S A GUARANTEE THAT LEASE.

AND SO, UH, THE PARENT COMPANY IS NAMED INEA OUT OF, UH, THE UNITED KINGDOM AND THEY HAVE, UH, OPERATIONS IN FINLAND, CANADA.

AND THEY HOPE TO HAVE IT IN THE UNITED STATES HERE IN GALVESTON AND IN PORT ARTHUR.

UM, ARTHUR PROVIDED INFORMATION ON THE, UH, GULF PROPER LEASE, WHICH, UH, EXTENDS FOR, UH, UNTIL 2036.

APRIL 31 PROVIDED SOME FINANCIAL INFORMATION.

AND, UH, I'M HAPPY TO ENTERTAIN ANY QUESTIONS YOU MIGHT HAVE ABOUT IT.

THEY WERE TALKING ABOUT RENEGOTIATING THIS LEASE, IF THAT'S STILL A PLAN.

THAT ONCE THE LEASE GETS ASSIGNED, UH, BOTH SIDES HAVE AGREED IN OUR CONSENT TO ASSIGNMENT DOCUMENT THAT YOU'RE BEING ASKED TO APPROVE, TO NEGOTIATE IN GOOD FAITH FOR A NEW LEASE.

UH, THE GOAL IS TO GET IT DONE IN 60 DAYS.

UH, BUT I, IF WE CAN GET THAT DONE.

THE, THE PLAN IS TO NEGOTIATE WHAT, WHAT IS DROP DEAD? WHAT IS THE REASON FOR THE DROP DEAD DATE OF AUGUST 11TH? WELL, WHAT THEY SAID IS THEY'VE GOT A LOT OF PIECES IN PLACE AND THEY HOPE TO CLOSE SOON.

THE PRIMARY, PRIMARY ONE, YOU LEARN SOMETHING EVERY DAY.

BUT IF YOU'RE A FOREIGN COMPANY TRYING TO SET UP OPERATIONS IN THE US THERE'S A FEDERAL COMMITTEE FOR INVESTMENT IN THE US C-F-I-U-S.

'CAUSE WE CAN'T GO BACK AND CHANGE UNLESS WE HAVE A SOME REASON TO RENEGOTIATE A LEASE OR MAKE AN AMENDMENT TO THE LEASE.

BUT I'D LIKE THE BOARD TO CONSIDER IN THE FUTURE THAT WE PUT CLAUSES IN HERE AND I'VE DONE IT BEFORE, UM, IF THEY WANT AN ASSIGNMENT, IT'S GOT A STAGGERED REDUCTION IN TERM OF THE LEASE.

IF THEY COME IN HERE AND THEY GOT 20 YEARS LEFT ON THE LEASE, AND IF WE, WE AGREED TO AN ASSIGNMENT FIVE YEARS GETS CHOPPED OFF THE, THE LEASE, GIVE US SOMETHING TO SHORTEN THE STICK WHERE WE HAVE A CHANCE TO AND HAVE THAT GRADUATED.

IF IT'S THREE YEARS LEFT, YOU MIGHT GET SIX MONTHS TAKEN OFF.

BUT SOME GRADUATED SLIDE THAT IF YOU GET A, IF WE GET ASSIGNMENTS OF LEASES, THE CONSIDERATION FOR THE PORT IS WE GET A SHORTER TERM LEASE, WHICH FORCES US OR AT LEAST GIVES US A CHANCE TO GET TO THE TABLE, RENEGOTIATE SOMETHING.

YEAH.

AND I'M, I'M WITH YOU BECAUSE, UM, AS A BUSINESSMAN, UM, THIS IS NOT THE WAY YOU'D LIKE TO DO THIS, RIGHT? BECAUSE WE ARE SITTING HERE ASKING, BEING ASKED TO ASSIGN A LEASE, UH, TO A COMPANY THAT IS SAYING WE WANT TO HAVE A BETTER LEASE.

AND USUALLY THAT DOESN'T MEAN IN OUR FAVOR.

AND SO I, I FEEL LIKE WE SHOULD PUT THAT ON THE TABLE BECAUSE, YOU KNOW, HERE AGAIN, I'M I'M LIKE YOU, I THINK THIS IS PROBABLY THE BEST THING FOR GALVESTON OVERALL TO DO THIS.

BUT I MEAN, HERE AGAIN, WE, WE WANNA MAKE SURE THAT WHEN, WHEN IT DOES COME TIME FOR A NEW LEASE TO BE, UM, NEGOTIATED, UM, THAT, YOU KNOW, WE ARE NOT IN BACK AGAINST THE LAW, RIGHT? BECAUSE WE'RE GONNA, WE'RE GONNA ASSIGN THIS LEASE AND UM, YOU KNOW, THEN WE'RE GONNA BE DEALING WITH SOMEBODY THAT WE REALLY DON'T KNOW.

AND, AND BELIEVE ME, TONY AND I HAVE TRIED TO DRAG INFORMATION OUT OF THEM TRYING TO GET MORE INFORMATION THAN WE'VE HAD.

UH, BUT I MEAN, I THINK THAT WE JUST NEED TO BE AWARE THAT, AND I THINK WE ARE, THAT, YOU KNOW, WE'RE GONNA ASSIGN A LEASE TO A COMPANY THAT, YOU KNOW, UNDER THE CIRCUMSTANCES THEY COULD JUST RIDE THIS LEASE OUT.

IT'S NOT GONNA BE IN THEIR BENEFIT TO DO THAT.

BECAUSE IF THEY ARE AS BIG A PLAYER AS IT LOOKS LIKE THEY'RE GONNA BE, THEY'RE NOT GONNA LIKE THESE TERMS BECAUSE WE HAVE THOSE UPPER LIMITS THAT WE HAVE PARTICIPATION IN THE RENTS.

SO I THINK THAT WE, YOU KNOW, BE AWARE THAT WE'LL, YOU KNOW, WE WE'RE GOING TO, WE'VE HAD THESE CONVERSATIONS WITH THEM AND I, I'VE SAT DOWN IN FRONT OF 'EM AND SAID, YOU KNOW, WHY WOULD I DO THIS? YOU KNOW? WELL, AND THAT'S AGAIN, I DON'T, YOU KNOW, THE LEASE IS WHAT THE LEASE IS AND WHAT IT SAYS.

SO WE HAVE TO LIVE WITH THAT.

BUT I'M JUST THINKING AS WE, AS WE DEVELOP, MOST OF OUR LEASES, LIKE I'VE TALKED ABOUT BEFORE, ARE THE GENERATIONAL, I MEAN, THEY SAID YOU MAKE A MISTAKE AND YOU CORRECT THE TWO YEARS FROM NOW.

SO BUILDING SOME FLEXIBILITY AS WE DO THESE THINGS IN THE FUTURE, THAT IF THEY WANT AN ASSIGNMENT, THAT'S GREAT, BUT WE'RE GONNA CHOP OFF SOME OF THE TERM OF THE LEASE TO GIVE US SHORTER, SHORTER STICK TO PLAY WITH.

WELL, WE KNOW THAT THEY'RE LOOKING FOR A LONG, LONG TERM.

YEAH.

YOU KNOW, AS MUCH AS 80 YEARS THAT KIND OF LEASE IS WHAT THEY, THEY BROUGHT THAT HE'LL BE AROUND HONEY, HE MIGHT BE AROUND, BUT , BUT I MEAN OTHER, THOSE ARE THINGS THAT, YOU KNOW, WE, I FEEL LIKE WE SHOULD PUT THAT ON THE TABLE BECAUSE I MEAN, WE SHOULD KNOW THAT, YOU KNOW, WE'RE GETTING INTO SITUATION WHICH WOULD PROBABLY, IF THE 2000 JOBS MATERIALIZED AND THE GRANTS, THE MONIES.

'CAUSE I'VE BEEN THROUGH ONE OF THESE FISCAL, I THINK IS WHAT THEY, THEY CALL IT WHERE, YOU KNOW, THEY, IT'S FOREIGN COMPANY HAS TO BE APPROVED AND IT CAN TAKE UP TO A YEAR.

BUT I THINK THAT THEY'VE BEEN IN THIS PROCESS A LOT LONGER THAN PROBABLY WE'RE AWARE OF TOO.

THE CONSENT IS ONLY GOOD UNTIL MARCH OF NEXT YEAR.

AND IF THEY DON'T GET SECURE THE ASSIGNMENT AND CLOSE THEIR TRANSACTION BY MARCH OF NEXT YEAR, IT'S NO LONGER EFFECTIVE, THEY WOULD'VE TO GET ANOTHER ONE.

THE GULF COPPER WOULD THEN THE CURRENT PRAYERS OF GULF COPPER STEP BACK INTO WHATEVER AGREEMENTS HAVE BEEN MADE.

DO WE KNOW IF, UH, ANY, IF THEY'VE BEEN AWARDED IN COMPLEX? I UNDERSTAND.

AND THERE'S TWO, TWO PIECES OF IT.

THE MAJOR PIECE OF IT IS, IS, IS THE, UM, UH, ICEBREAKERS, BUT THEN THE HUGE BIGGER PIECE TO THAT IS COAST GUARD COAST, THE COAST GUARD PICKED UP A, YOU KNOW, A LOT OF MONEY, UH, TO REVAMP THEIR FACILITIES, THEIR, THEIR SHIPS.

AND SO I THINK THAT MOST OF THESE OTHER COMPANIES WERE ORIENTED.

BUT, YOU KNOW, FROM A, FROM A, I THINK FROM A COMMUNITY STANDPOINT, BRINGING 2000 OF THOSE HIGH PAYING JOBS IN THIS AREA,

SO WE WOULD NEED TO, YOU KNOW, ENSURE THAT WE MAINTAIN A SIGNIFICANT PLACEMENT AREA AND WORK WITH THE, UH, THE ARMY COURT MATERIAL THERE, FEDERAL, UH, PLACEMENT AREA.
